1. Accepting the Terms

1.1 The terms and conditions of the service contract ("the Service and" the Contract ") are laid out below to allow potential exhibitors to enter into contracts with potential buyers and to also allow buyers to enter into any contracts with users in the Alwayson Show virtual exhibition, which governs the relationship between parties who register and use the Alwayson Show service platform ("Users") depending on the different functions; the service is the responsibility of MIFUR SRL S.r.l. with headquarters in Milan, Via A-Riva Villasanta n.3, VAT no. 12143280159. (the Provider). The Provider provides access to the Service via the website www.alwaysonshow.it (the "Website"). By using this Service, users confirm their acceptance of the following terms and conditions.

Note to users: the service may also be provided with the help of qualified suppliers who sign specific contracts with the Provider regarding the quality and reliability of the services under the sole responsibility of the Provider. In particular, SAE Comunicazione Integrata S.r.l. plans the service and controls the IT infrastructure.  


2. Premises, applicable law and competent court

2.1 This Contract and the protection of personal data are fundamental elements of the Service between the User and the Provider in order to access and use the service provided by the Website.

2.2 The Provider and the User are independent contracting parties, with no direct or intermediated commercial relationship involving third parties (for example agencies, associations, joint ventures).

2.3 This contract is governed by Italian law. In case of dispute, the competent court will be the Court of Milan.

 

3. Description of the Service

3.1 The Provider provides access to and use of the Website to share information with parties registered on the website. The Service involves:

  • Company Profile - it allows registered companies to send, view and edit all their company's identifying data: Company Name, Address, Country/Region, Person to Contact, Telephone Numbers, etc.
  • Content - it allows potential exhibitors to send, view and edit Content text (products or services) to be viewed on the Website.
  •  3.2 Subscription to the Service is only available to legal persons who guarantee that all users are adults. 
  • 3.3 (i) The Provider will set up a login and password that it will give to each user (potential exhibitor or potential buyer) to access the Website. (ii) It is each User's sole responsibility to keep their login and password confidential and they are also responsible for all actions performed while using the Service, after they have been authenticated by the system. (iii) Each User Login and Password pair is unique and it is each User's responsibility not to share or allow their Account to be used by other people who are unrelated to their company profile. (iv) Failure to comply with clause (iii) will harm the Provider and each User is required to compensate the Provider if the Provider suffers loss or damage. (v) Each User undertakes, to the best of their knowledge, to notify the Provider of any unauthorised use of their account, or any lapses in terms of IT security. (vi) The Provider will not be liable for any damage suffered by the User for failure to comply with these provisions.

3.4 The Provider reserves the right to introduce new features, functions or applications to the Service or to future versions of the Service.

3.5 (i) The Provider does their best to ensure the best possible Service available. (ii) the Provider is not liable to Users, or to third parties, if the service is unavailable (due to temporary unavailability of the server, system maintenance, changes or unforeseeable causes).

3.6 The contract depends on payment being made

3.7 The Contract has a duration of 12 months for potential buyers and 6 months for potential exhibitors, starting from the date the Contract is accepted and the User registers on the Website and it is automatically renewed until the account is closed by the party that registered.

 

4. User Liability

4.1 The User undertakes to:

  • provide truthful, accurate, up-to-date and complete information about themselves and their company.
  • provide any additional documentation requested by the Provider (for example a chamber of commerce registration certificate)
  • promptly update all information to keep it truthful, accurate and complete
  • 4.2 The User also undertakes to: 

    • not enter fraudulent information, not propose fraudulent offers, and not promote any illegal activity;
    • not harm other users of the Service;
    • not infringe or encourage the infringement of third-party copyrights, patents, trademarks, and intellectual property rights;
    • not violate regulations governing use of the service (including, for example, regulations concerning exports, consumer protection, unfair competition, discrimination or misleading advertising);
    • not submit material that constitutes unauthorised advertising;
    • not copy or attempt to copy, not reproduce, not take advantage of, and not download directories, databases and lists owned by the Provider;
    not violate the integrity of computer systems or computer networks used by the Provider and/or by any user of the Service

    4.3 (i) The Provider does not check the content of messages or material posted on the Website. (ii) The Provider does not verify or certify the content of material provided by potential exhibitors (iii) Each potential exhibitor is solely responsible for content sent to and posted on the Website.

    The Provider is not responsible for the validity, accuracy, reliability, quality, or completeness of

    information provided by exhibitors and posted on the Website.

    4.4 (i) In case of violation of the clauses in points: 4.1, 4.2, and 4.3, the Provider may suspend the Service and terminate the contract in accordance with art. 1456 of the Italian Civil Code. (ii) the Provider also reserves the right to remove any of the User's material that violates this Contract from the Website.


    5. Protecting Confidentiality


    The personal data of users (potential exhibitors, potential buyers) is processed by the Data Controller MIFUR SRL A socio Unico (with sole shareholder), in compliance with the European General Data Protection Regulation 2016/679 ("GDPR") and the relevant Italian laws. Pursuant to art. 13 of the GDPR, the Data Controller informs Users that the personal data they provide will be processed in compliance with the abovementioned legislation and applicable Italian laws, as indicated in the policy that the User has read on the Website. The data will be processed for the sole purposes of using the Website, with the assistance of computers, and will be held on magnetic storage media and kept for 10 years. Personal data will not be transferred or disclosed to third parties, and when transferred to third countries, the adequacy of the processing will be guaranteed. If they wish to exercise their rights as per articles 15 to 22 of the GDPR, Users can write to the privacy representative at privacy@mifur.com_, or contact the Italian Data Protection Authority (www.garanteprivacy.itcontacts section).

     

    6. Transactions between the parties (Users and Provider)

    6.1 The Provider does not represent users (potential exhibitors and potential buyers), nor is it involved in any type of transaction. 

    7. Provider's Limitation of Liability

     7.1 Content on the Website relating to exhibitors is written at their discretion. Any damage to their computer system or loss of data that may derive from having "downloaded" any type of material is the sole responsibility of the individual User.


    7.2 The Provider is not responsible for direct or indirect damage deriving from:

    • use or non-use of the Website;
    • defects in products, samples, data, information or services purchased by a User or third-party services provided via the Website;
    • unauthorised access to Users' personal data or private information;
    • the Website User's actions.

    8. Copyright and Intellectual Property

    8.2 Some brands on the Website and their logos and icons are registered trademarks and are protected by copyright, trademark and intellectual property laws. Any copying, altering, using or publishing of these trademarks is strictly prohibited.

    8.1.The Provider is the sole owner or licensee of all copyright on the Website. The Website and Website content include intellectual property rights protected by copyright.
